1. General Terms
These Terms apply to every service we offer. Some services have additional terms in the sections below. If a signed proposal, quote, statement of work, or service agreement ("Service Agreement") conflicts with these Terms, the Service Agreement controls for that project. Terms of third-party providers we use to deliver services (for example, domain registries, cruise lines, airlines, or software platforms) may also apply to you.
2. Accounts & Eligibility
You must be at least 18 years old and able to enter a binding contract to purchase services. If you act on behalf of a business, church, or other organization, you confirm you have authority to bind it. You agree to provide accurate information, keep it current, and keep your login credentials confidential. You are responsible for all activity under your account.
3. Payment, Billing & Renewals
- Pricing. Prices are listed on your invoice, quote, or order. Taxes and third-party fees are extra unless stated.
- Recurring services. Hosting, email, domains, software subscriptions, and support plans renew automatically at the end of each billing term unless cancelled before the renewal date. By providing a payment method, you authorize us to charge it for renewals.
- Deposits. Project work (websites, AV installations, streaming setups) may require a non-refundable deposit before work begins. The balance is due as stated in your Service Agreement.
- Late payment. Past-due accounts may be suspended. We may charge a reasonable late fee and recover collection costs as allowed by law.
- Refunds. Unless required by law or stated in writing, fees are non-refundable. Domain registrations, third-party licenses, equipment that has been ordered, and completed work cannot be refunded. Travel refunds follow Section 10.
- Chargebacks. Please contact us before disputing a charge. Filing a chargeback may result in immediate suspension of services.
4. Web Hosting & Email
- Resources. Hosting plans include the resources described in your plan. "Unlimited" plans are subject to fair use; accounts that harm server performance or other customers may be limited or moved to an appropriate plan.
- Backups. We may perform backups as a courtesy, but you are responsible for keeping your own backups of your website, databases, and email. We are not responsible for lost data.
- Email. You may not use our email services to send spam, unsolicited bulk mail, or messages that violate the CAN-SPAM Act or other laws. Sending limits may apply.
- Uptime. We work to keep services available but do not guarantee uninterrupted service. Scheduled maintenance, provider outages, and events beyond our control may cause downtime.
- Security. You are responsible for keeping your software, plugins, and passwords secure. We may suspend compromised accounts to protect our systems.
- Cancellation. Upon cancellation or non-payment, your hosting and email data may be deleted after a reasonable period. Download your data before cancelling.
5. Domain Names
- Domains are registered through accredited registrars and are subject to the rules of ICANN, the applicable registry, and the registrar, including the Uniform Domain-Name Dispute-Resolution Policy (UDRP).
- You must provide accurate registrant contact information. False information may result in domain suspension or cancellation.
- You are solely responsible for ensuring your domain does not infringe anyone's trademark or other rights.
- Renewals are your responsibility. We will try to send renewal reminders, but we are not liable for a domain that expires. Expired domains may incur redemption fees or be lost permanently.
- Domains can be transferred away according to registrar rules once your account is paid in full. Transfers may be restricted for 60 days after registration or transfer.
- Domain registration fees are non-refundable once submitted.
6. Website Design & Development
- Scope. The pages, features, and number of revision rounds are defined in your Service Agreement. Work outside that scope is billed separately.
- Client content. You must provide text, images, logos, and other materials on time. You confirm you own or have permission to use everything you provide. Delays in providing content may delay your project; projects inactive for 60 days due to Client delay may be closed and billed for work completed.
- Approval. Once you approve a design or launch, further changes are billed as new work.
- Ownership. After full payment, you own the final website content and custom design created specifically for you. We keep ownership of our pre-existing code, frameworks, templates, and tools, and grant you a license to use them as part of your site. Third-party themes, plugins, fonts, and stock images are licensed under their own terms.
- Portfolio. We may display your completed website in our portfolio unless you ask us not to in writing.
- Maintenance. Updates, security patches, and support after launch are not included unless you purchase a maintenance plan.
7. Streaming Media Services
- Content rights. You are solely responsible for the content you stream, record, or distribute. You must hold all necessary rights and licenses, including music and performance licenses (for example, CCLI streaming licenses or similar), for any copyrighted material in your broadcasts.
- Third-party platforms. Streams delivered to YouTube, Facebook, or other platforms are subject to those platforms' terms. We are not responsible for takedowns, muting, strikes, or account actions taken by those platforms.
- Internet and equipment. Stream quality depends on your internet connection, venue conditions, and equipment. We do not guarantee stream quality or availability where these are outside our control.
- Recordings. Any recording or archiving is provided as a convenience. Keep your own copies of important recordings.
8. AV Installation Services
- Quotes. Installation quotes are valid for 30 days and are based on the site information available at the time. Hidden conditions, code requirements, or changes requested by the Client may require a change order and additional charges.
- Site access. You must provide safe, timely access to the installation site and obtain any building permissions required. Rescheduling or failed access may result in trip or rescheduling fees.
- Equipment. Equipment is covered only by the manufacturer's warranty. Title to equipment passes to you upon full payment; until then, we retain a security interest in it. Special-order equipment is non-returnable.
- Workmanship. We warrant our installation workmanship for 90 days from completion, unless your Service Agreement states otherwise. This does not cover damage from misuse, power surges, moving equipment, modifications by others, or acts of nature.
- Existing systems. We are not responsible for pre-existing defects in your building, wiring, network, or equipment.
- Electrical work. Where required, high-voltage electrical work must be performed by a licensed electrician arranged by the Client unless otherwise agreed.
9. Church Management Software
- License. We grant subscribing organizations a limited, non-exclusive, non-transferable right to use our church management software ("ChMS") during the subscription term. You may not copy, resell, reverse engineer, or create derivative works of the software.
- Your data. Your organization owns the member and contact data it enters ("Customer Data"). We process Customer Data only to provide the service, as described in our Privacy Policy. You are responsible for having the right to collect and use that data.
- Text messaging (SMS). You may only send text messages to people who have given proper consent to receive them. You are responsible for compliance with the Telephone Consumer Protection Act (TCPA), carrier requirements (including 10DLC registration), and all messaging laws. Messages must include opt-out instructions where required, and you must honor STOP requests. Message and data rates may apply to recipients. We may suspend messaging that generates complaints or violates carrier rules.
- Email outreach. Bulk email sent through the ChMS must comply with the CAN-SPAM Act and include an unsubscribe option.
- Usage limits. Plans may include message credits or limits. Unused credits do not roll over or get refunded unless stated in your plan.
- Export & termination. You may export your Customer Data while your subscription is active. After cancellation, Customer Data may be deleted after 30 days.
10. Travel Services
- Our role. We act as a travel agent and intermediary between you and travel suppliers such as cruise lines, airlines, hotels, resorts, tour operators, rental car companies, and insurance providers ("Suppliers"). We do not own or operate any Supplier and are not responsible for their acts, omissions, delays, cancellations, overbooking, strikes, injuries, or failure to provide services.
- Supplier terms. Every booking is subject to the Supplier's terms, including payment schedules, cancellation penalties, change fees, and refund policies. We will share key terms with you, and you agree to review them.
- Payments. Deposits and final payments must be made by the dates required. Late payment may cause your reservation to be cancelled by the Supplier with penalties.
- Cancellations & changes. Cancellations and changes must be requested in writing. Supplier penalties apply, and we may charge a service or planning fee, which is non-refundable. Refunds are issued only when and to the extent the Supplier refunds them.
- Travel documents. You are responsible for having valid passports, visas, identification, vaccinations, and other entry requirements for every destination. Names on bookings must match travel documents exactly. We are not responsible for denied boarding or entry.
- Travel insurance. We strongly recommend travel protection. If you decline it, you accept responsibility for any resulting losses.
- Pricing. Prices are not guaranteed until paid in full and may change due to Supplier pricing, fuel surcharges, taxes, or currency changes.
- Commissions. We may receive commissions or other compensation from Suppliers.
- Group travel. Group bookings may have additional terms in a separate group agreement.
11. Acceptable Use Policy
You may not use any of our services to:
- Break any law or regulation, or promote illegal activity;
- Send spam, phishing, or unsolicited messages by email or text;
- Host or distribute malware, stolen data, or content that infringes copyrights or trademarks;
- Host child sexual abuse material, which will be reported to law enforcement;
- Harass, threaten, or defame others, or promote violence;
- Attempt to gain unauthorized access to any system or account, or disrupt our network;
- Run cryptocurrency mining, open proxies, or other resource-abusive processes on shared servers.
We may remove content or suspend services that violate this policy, with or without notice.
12. Intellectual Property
Our website, logos, software, templates, and materials are owned by Jaddar Enterprises, LLC or its licensors and are protected by law. You may not use them without our written permission, except as needed to use services you have purchased. You keep ownership of content you provide to us and grant us a license to use it only as needed to deliver our services.
Copyright complaints. If you believe content on our services infringes your copyright, send a notice to info@jaddarenterprises.com identifying the work, the infringing material and its location, your contact information, and a statement of good faith, signed under penalty of perjury.
13. Suspension & Termination
You may cancel recurring services with written notice before your renewal date. We may suspend or terminate services immediately for non-payment, violation of these Terms, security threats, or legal requirements. Termination does not cancel amounts already owed. Sections that by their nature should survive termination (including payment, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
14. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not guarantee that services will be uninterrupted, error-free, or completely secure, or that websites will achieve any particular search ranking or result.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JADDAR ENTERPRISES, LLC AND ITS MEMBERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. For travel services, our liability is limited to the service fees you paid directly to us and does not include amounts paid to Suppliers.
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, severe weather, power or internet outages, pandemics, government actions, labor disputes, or Supplier failures.
16. Indemnification
You agree to defend, indemnify, and hold harmless Jaddar Enterprises, LLC and its members, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of our services, messages you send through our platforms, or your violation of these Terms or any law.
17. Governing Law & Disputes
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. Any legal action must be brought in the state or federal courts located in Bossier Parish, Louisiana, and you consent to that jurisdiction. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.
18. Changes & Contact
We may update these Terms from time to time. The "Last updated" date shows when they were last changed. Continued use of our services after changes are posted means you accept the updated Terms. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with any Service Agreement, are the entire agreement between you and us about our services.
